1. Acceptance of Terms

By accessing and using BacktestPilot ("Service"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and BacktestPilot. By using the Service, you represent that you are at least 18 years old and have the legal capacity to enter into this agreement.

2. Definitions

For the purposes of these Terms:

  • Service: refers to the BacktestPilot platform, including the website, web application, desktop agent, and related services.

3. Account Registration and Eligibility

To use the Service, you must create an account and select a subscription plan. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information to keep it accurate and complete.
  • Maintain the security and confidentiality of your account credentials.
  • Immediately notify us of any unauthorized access to or use of your account.
  • Be responsible for all activities that occur under your account, including actions taken by third parties.
  • You must be at least 18 years old and have the legal capacity to enter into binding contracts. By registering, you represent and warrant that you meet these eligibility requirements.

4. Subscription Plans and Fees

BacktestPilot offers various subscription plans with different features and limits. By subscribing to the Service, you agree to:

  • Pay all applicable fees as specified on our pricing page at the time of your subscription.
  • Authorize us to charge your designated payment method for all fees associated with your subscription.
  • Auto-Renewal: Unless you cancel before the end of your current billing period, your subscription will automatically renew, and your payment method will be charged for the next billing period.
  • Price Changes: We reserve the right to change subscription fees with 30 days prior notice. Price changes will apply to the next billing cycle after the notice period.
  • Plan Upgrades: When upgrading your plan, you will be charged a prorated amount for the remaining time in your current billing period, plus the full amount for the new plan going forward.
  • Plan Downgrades: Downgrades take effect at the end of your current billing period. No refunds are provided for the difference in pricing.
  • Taxes: All fees are exclusive of applicable taxes unless stated otherwise. You are responsible for all applicable taxes.

5. Description of Service

BacktestPilot is a cloud-based platform that enables users to:

  • Run automated MT4/MT5 backtests in parallel across multiple terminals.
  • Manage EA programs and parameter sets (.set files).
  • Store and analyze backtest results including HTML reports, equity curves, and trade journals.
  • Optimize trading strategy parameters across multiple configurations.
  • Launch live trades from the platform (where supported by your broker).
  • The Service is provided as described on our website. We do not guarantee any specific backtesting results, trading performance, or profitability.

6. Acceptable Use Policy

You agree not to use the Service to:

  • Conduct any illegal activities or violate any applicable laws, regulations, or ordinances.
  • Engage in fraudulent, deceptive, or manipulative trading practices.
  • Harm, harass, or interfere with other users or third parties.
  • Overload, damage, or impair our servers, networks, or infrastructure.
  • Access unauthorized areas of the Service or other users' accounts.
  • Upload or transmit viruses, malware, or other harmful code.
  • Use automated systems (bots, spiders, scrapers) without our written permission.
  • Use the Service to trade in any market or instrument that is prohibited by applicable laws in your jurisdiction.

You are solely responsible for ensuring your trading activities comply with all applicable laws and regulations in your jurisdiction.

7. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by BacktestPilot and are protected by international copyright, trademark, patent, and other intellectual property laws. You retain ownership of any content you submit to the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, distribute, and display such content solely for the purpose of providing the Service to you.

If you provide feedback, suggestions, or ideas about the Service, we may use them without obligation to you.

8. User Content and Data Ownership

You retain all ownership rights to your content ("User Content"), including EA files, trading parameters, backtest results, and any other data you upload or create using the Service.

You grant BacktestPilot a limited license to use your User Content solely for the purpose of providing the Service to you, including storing, processing, and displaying your data.

We maintain regular backups of your data, but you are responsible for maintaining your own copies of important information.

Upon account termination, you may request export of your data within 30 days. After this period, your data will be deleted from our systems in accordance with our data retention policy.

9. Service Availability and Support

We strive to maintain high availability of the Service, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice when possible).
  • Emergency maintenance or security patches.
  • Circumstances beyond our control, including force majeure events.
  • Technical issues, bugs, or third-party service outages.

10. Service Level Agreement

For paid subscription plans, we provide the following service level commitments:

  • Uptime: We target 99.9% monthly uptime for the core Service (excluding scheduled maintenance).
  • Maintenance Windows: Scheduled maintenance will not exceed 4 hours per month and will be performed during off-peak hours when possible.
  • Service Credits: If we fail to meet our uptime commitment, you may be eligible for service credits as follows:
  • 95.0% - 99.0% uptime: 10% credit
  • Credits are applied to future invoices and do not entitle you to a refund. Credits are your sole remedy for service level failures.

11. Payment Terms and Refund Policy

All payments are processed securely through Stripe. By subscribing, you authorize:

  • Recurring Charges: Your payment method will be automatically charged on a recurring basis according to your subscription plan.
  • Failed Payments: If a payment fails, we will retry the charge up to 3 times over 7 days. Service may be suspended if payment is not received.
  • Refund Policy: We offer a 7-day money-back guarantee for new subscribers. If you are not satisfied, contact us within 7 days of your initial subscription for a full refund.
  • No Refunds: After 7 days, subscription fees are non-refundable for the current billing period. Monthly subscriptions can be cancelled at any time but will not be refunded for the current period.
  • Chargebacks: Initiating a chargeback without first contacting us may result in account suspension and additional fees.

12. Account Security

You are responsible for maintaining the security of your account and credentials. You agree to:

  • Use strong, unique passwords and change them regularly.
  • Enable two-factor authentication (strongly recommended).
  • Notify us immediately of any security breach or unauthorized access.
  • Never share your credentials with third parties.
  • You are liable for all activities conducted through your account, whether authorized or not.

13. Termination

These Terms remain in effect until terminated. Termination may occur in the following ways:

  • User Termination: You may cancel your subscription and terminate your account at any time through your account settings. Cancellation takes effect at the end of your current billing period.
  • Company Termination: We may suspend or terminate your account immediately, without notice, for conduct that violates these Terms, is illegal, or harms other users.
  • Effect of Termination: Upon termination, your access to the Service will be revoked. We will retain your data for 30 days, after which it will be deleted in accordance with our data retention policy.
  • Survival: Sections 6, 7, 8, 11, 14, 15, 16, and 17 survive termination.

14. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF:

  • MERCHANTABILITY: The Service is provided without warranty that it will meet your specific requirements.
  • FITNESS FOR A PARTICULAR PURPOSE: We do not warrant that the Service will be uninterrupted, secure, or error-free.
  • ACCURACY: We do not warrant the accuracy, completeness, or reliability of backtest results, as they are based on historical data and may not reflect future performance.
  • TRADING RESULTS: We make no representations about trading performance or profitability. Backtesting results do not guarantee future results.
  • Third-Party Content: We are not responsible for any third-party content, services, or websites linked to or from the Service.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BacktestPilot, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:

  • INDIRECT: Any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses.
  • DIRECT: Damages exceeding the total amount paid by you to BacktestPilot in the 12 months preceding the claim.
  • TRADING: Any damages arising from trading activities, including but not limited to losses from live trading based on backtest results.
  • RELIANCE: Any damages resulting from your reliance on the Service, including decisions made based on backtest results.
  • ACCURACY: Any inaccuracies in backtest results due to incomplete historical data, broker differences, or market conditions.

16. Indemnification

You agree to defend, indemnify, and hold harmless BacktestPilot, its directors, employees, partners, agents, suppliers, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to:

  • Your violation of these Terms or any applicable law.
  • Your User Content or any content you submit to the Service.
  • Your trading activities conducted through the Service.
  • Your use of the Service to harm or infringe upon the rights of third parties.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which BacktestPilot is established, without regard to its conflict of law provisions.

  • Informal Resolution: Before initiating any legal action, you agree to contact us and attempt to resolve the dispute informally.
  • Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms shall be settled by binding arbitration in accordance with the rules of the designated arbitration body.
  • Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in class actions or class arbitrations.
  • Injunctive Relief: Notwithstanding the above, we may seek injunctive or other equitable relief in any court of competent jurisdiction.

18. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Email notification to the address associated with your account.
  • Posting a notice within the Service.
  • Changes becoming effective 30 days after notification.
  • Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.
  • If you object to the changes, you may cancel your subscription before the changes take effect.
